These Terms and Conditions (“Terms”) govern your use of the Veriflex platform operated by Veriflex Ltd, a company registered in England and Wales. By creating an account or using this platform in any way, you agree to be bound by these Terms. If you do not agree, you must not use the platform.

01Platform Description

Veriflex is an intermediary platform (“Platform”) that enables businesses (“Clients”) to discover and contact independent specialist consultants (“Consultants”). The Platform provides tools for profile creation, professional reference verification, direct messaging, and engagement term proposals.

02Intermediary Status and Disclaimer

Veriflex acts solely as a technology intermediary. Veriflex is not a party to any contract, engagement, work order, or arrangement entered into between Clients and Consultants, and assumes no liability for the performance, conduct, or outcomes of any such arrangement.

Veriflex does not employ, engage, direct, supervise, or otherwise control any Consultant. All Consultants are self-employed independent contractors or corporate entities operating independently. Veriflex makes no representation or warranty as to the suitability, competence, qualifications, or availability of any Consultant listed on the Platform.

03User Eligibility and Registration

To use the Platform you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into binding contracts;
  • Register with accurate, truthful, and complete information;
  • Maintain the security and confidentiality of your login credentials;
  • Promptly notify Veriflex of any unauthorised access to your account.

Veriflex reserves the right to suspend or permanently terminate any account that provides false or misleading information, or that violates these Terms.

04User Obligations

All users of the Platform agree not to:

  • Impersonate any person or entity, or misrepresent their qualifications, experience, or corporate affiliation;
  • Post false, misleading, defamatory, or fraudulent profile information;
  • Use the Platform for any unlawful purpose or in contravention of any applicable UK or international law;
  • Attempt to circumvent the Platform or its verification processes, including by misrepresenting credentials or fabricating reference submissions;
  • Harvest, scrape, or systematically extract data from the Platform;
  • Interfere with the integrity, security, or availability of the Platform or its infrastructure;
  • Transmit unsolicited commercial communications or spam through Platform messaging.

05Reference Verification System

The reference verification system enables Consultants to request professional testimonials from colleagues using corporate email addresses. Submitted references are subject to a multi-stage review process including automated AI assessment and manual review by the Veriflex team. The following apply:

  • Veriflex verifies the corporate domain of the referee's email address, not the identity of the individual submitting the reference;
  • Submitted references are assessed by AI for authenticity indicators including domain legitimacy, internal consistency, and signs of fabrication. This assessment informs but does not replace human review;
  • Verified references represent the personal opinions of the individual referee only. Veriflex does not endorse any testimonial content;
  • Consultants must only request references from individuals who can genuinely attest to their professional work. Soliciting false or misleading references is strictly prohibited;
  • Submitting false, fabricated, or AI-generated references constitutes a material breach of these Terms and will result in immediate account termination.

06AI-Assisted Vetting and Automated Processing

By submitting a reference through the Platform (as a referee), or by requesting a reference (as a Consultant), you acknowledge and agree that:

  • Reference submissions are processed by automated AI systems as part of the vetting workflow. This processing is described in the Veriflex Privacy Policy;
  • Automated assessment results are reviewed by a human administrator before any decision is made about a reference or profile;
  • Veriflex does not make solely automated decisions with legal or similarly significant effects. Human review is always part of the approval process;
  • AI-generated profile summaries (Professional Synthesis) are produced from approved verified references and may be displayed on a Consultant's public profile. Consultants may request removal at any time.

07Tax and Legal Independence

Veriflex is a technology platform only. We do not provide tax advice, legal advice, or employment status guidance of any kind. All users are solely responsible for understanding and complying with their own tax obligations, including income tax, corporation tax, VAT, and any other applicable statutory requirements.

Consultants are responsible for their own tax affairs as self-employed individuals or corporate entities. Clients are responsible for their own compliance obligations in relation to any engagement entered into through the Platform. Both parties are strongly advised to seek independent professional advice before commencing any engagement. Veriflex shall have no liability whatsoever for any tax, legal, or financial consequences arising from any engagement facilitated through the Platform.

08Fees and Platform Access

Access to the Platform (including profile creation, directory search, reference management, and messaging) is currently provided free of charge at this time. No fees are charged to Clients or Consultants.

Veriflex reserves the right to introduce a fee structure in the future. Registered users will be notified of any fees or pricing changes via email to their registered address at least 30 days before they take effect. Continued use of the Platform after notification constitutes acceptance of the revised fee structure.

09Engagement Terms

The Platform provides a messaging and terms proposal feature that enables Clients and Consultants to discuss and agree on the basis of a potential engagement, including day rate, scope, start date, and working arrangement. The following apply:

  • Any engagement terms discussed or agreed through the Platform are solely between the Client and Consultant;
  • Veriflex is not a party to any engagement, arrangement, or agreement entered into through the Platform;
  • The Platform's engagement terms feature is provided as a communication tool only and does not constitute a legally binding contract facilitated by Veriflex;
  • Users are solely responsible for ensuring any engagement they enter into is properly documented and legally compliant. Veriflex does not provide legal advice.

10Intellectual Property

The Veriflex platform, brand, design, code, and all content created by Veriflex are the intellectual property of Veriflex Ltd. You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Platform without prior written permission.

You retain ownership of content you create on the Platform (profile information, uploaded documents). By submitting content, you grant Veriflex a limited, non-exclusive, royalty-free licence to display and process that content solely for the purpose of operating the Platform.

11Limitation of Liability

To the fullest extent permitted by applicable law, Veriflex shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, loss of revenue, loss of data, or business interruption;
  • The conduct, acts, or omissions of any Client or Consultant;
  • The accuracy, completeness, or legality of any user-submitted content;
  • Any tax liability, IR35 determination, or employment status classification.

Veriflex’s total aggregate liability to any user for any claim arising in connection with these Terms shall not exceed one hundred pounds sterling (£100).

12Termination

Either party may terminate their use of the Platform at any time. You may delete your account via the Settings page. Veriflex may suspend or terminate any account immediately where there is a material breach of these Terms, suspected fraudulent activity, or where required to do so by law.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature survive termination (including Sections 07, 10, 11, and 14) shall continue in full force.

13Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of 30 days.

14Changes to These Terms

Veriflex reserves the right to modify these Terms at any time. We will notify registered users of material changes via email to their registered address at least 14 days before the changes take effect. Continued use of the Platform after notification constitutes acceptance of the revised Terms.

If you do not accept the revised Terms, you must stop using the Platform and may delete your account.
